Programme:
The Austrian Code of Corporate Governance presented to the public on 1 October 2002 has become an indispensable part of the Austrian corporate governance system and is viewed by investors as well as by issuers as an effective instrument for building confidence.
Amendments of the Austrian Corporate Governance Code are necessary due to changes in statutory law after the implementation of EU-directives.
These changes include the regulations on the corporate governance declaration, the strengthening of the supervisory board and its committees, the consideration of diversity in the supervisory board and transparency of management remuneration. The Austrian Working Group on Corporate Governance proposed a draft of the amended code for public consultation in summer 2008.
